Terms of service
These terms cover your use of Enterprise Pay Gateway software. In short: Enterprise Pay Gateway provides software, Stripe processes the payments under its own agreement with you, you are the seller of record to your customers, and either side can end the arrangement with notice.

1. What Enterprise Pay Gateway provides
Enterprise Pay Gateway provides software that helps a business set up and operate card payments through Stripe. Enterprise Pay Gateway is not a bank, a card network, a payment processor or a money transmitter, and does not hold, transmit or settle merchant funds.
Card processing, identity verification and payouts are performed by Stripe under a separate agreement between you and Stripe. You must comply with that agreement, and Stripe's decisions about your account are Stripe's to make.
2. Your account
You must provide accurate business and contact information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure.
You must be authorised to act for the business you register, and the business must be legally able to sell what it lists.
3. Fees
You pay a monthly subscription for your chosen plan and a platform fee on volume processed through Enterprise Pay Gateway, both as published on our pricing page at the time of purchase. Platform fees are calculated by Enterprise Pay Gateway and collected through Stripe as an application fee on each payment.
Stripe's processing fees are charged to you separately by Stripe and are not set, received or controlled by Enterprise Pay Gateway.
We may change published pricing with at least 30 days' notice for existing subscribers. Continuing to use the service after the notice period constitutes acceptance.
4. Acceptable use
You may not use Enterprise Pay Gateway for anything unlawful, for goods or services prohibited by Stripe or the card networks, to deceive customers about what they are buying, or to process payments on behalf of another business without our written agreement.
We may suspend an account that we reasonably believe is being used in breach of these terms or that presents unacceptable risk.
5. Your obligations to your customers
You are the seller of record. You are responsible for the goods or services you sell, for your refund and cancellation policy, for taxes, for customer support and for responding to disputes.
6. Cancellation
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; we do not refund partial periods unless required by law.
We may terminate for material breach, or for convenience with 30 days' notice, in which case we refund any prepaid period not yet used.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be announced where practical. We are not responsible for outages or decisions of Stripe, the card networks or your bank.
8. Liability
To the fullest extent permitted by law, Enterprise Pay Gateway's total liability arising from the service is limited to the subscription and platform fees you paid us in the twelve months before the claim. We are not liable for lost profits, lost revenue or indirect losses.
Nothing in these terms limits liability that cannot lawfully be limited.
9. Changes to these terms
We may update these terms. Material changes will be notified by email or in-product at least 30 days before they take effect.
These terms are a working draft for a pre-launch product and are not legal advice. The governing law, registered entity name and notice address will be completed before launch. Questions? Contact us.
